KSUAB Bylaws
Article I - NAME
| 1.1 |
The formal name
of this organization shall be the "Kansas State University
Alumni Band", hereafter referred to in the bylaws as the
"KSUAB". |
Article II - PURPOSES
| 2.1 |
The purposes of
the KSUAB are to provide Kansas State University Band Alumni
an arena to continue their band participation and to support
the Kansas State University Band program. |
Article III - MEMBERSHIP
| 3.1 |
The KSUAB shall
have two kinds of membership: Alumnus Member and Associate Member. |
| 3.2 |
An Alumnus Member
is a dues-paying member who has served at least one semester
in one band at Kansas State University. Alumnus Members have
all the rights and benefits of membership, including voting,
serving on committees, and serving on the Executive Board. |
| 3.3 |
An Associate Member
is a dues-paying member who has not served in at least one band
at Kansas State University for at least one semester. Associate
Members have all rights and benefits of Alumnus Members except
serving on the Executive Board and voting on bylaw amendments. |
| 3.4 |
Rights and benefits
of membership shall be construed to mean benefits offered only
to persons who perform at a given function. |
Article IV - EXECUTIVE BOARD
| 4.1 |
The Executive Board
of the KSUAB shall administer all business, property, and activities
of the KSUAB. |
| 4.2 |
The Executive Board
shall consist of five voting members. These shall be the President,
Vice-President, Secretary-Treasurer, Events Coordinator, and
Member-at-Large. |
| 4.3 |
All Executive Board
members shall serve two-year terms, with elections at the annual
meeting of the KSUAB in odd-numbered years. A majority of Alumnus
and Associate Members present shall be necessary to elect a
candidate. |
| 4.4 |
The President shall
preside over all meetings of the KSUAB and of the Executive
Board. The President shall coordinate the activities of the
board, and shall have the authority to call meetings as necessary.
The President shall act as the liaison to the Kansas State University
Band Office unless another Executive Board member is assigned
this responsibility. |
| 4.5 |
The Vice-President
shall be the membership officer of the KSUAB. This officer's
primary duties are to strengthen our membership and maintain
our current membership. The Vice-President shall preside over
meetings of the KSUAB and the Executive Board in the absence
of the President. |
| 4.6 |
The Secretary-Treasurer
shall be responsible for all communication, promotion, and finance
of the KSUAB. The Secretary-Treasurer shall take minutes at
all meetings of the KSUAB and the Executive Board, and shall
distribute them to all Executive Board members within two weeks
of any meeting. The Secretary-Treasurer shall collect all dues
and donations, and disperse funds as necessary by the KSUAB.

The Events Coordinator
shall be responsible for coordinating all events of the KSUAB.

| 4.8 |
The Member-at-Large
shall be the designated voice of the membership of the KSUAB.
This person shall be the contact point for concerns and desires
of the membership. The Member-at-Large shall assist other Board
members as necessary to carry out the purposes of the KSUAB,
and may be assigned other tasks by the President. |
| 4.9 |
Upon the vacancy
of the position of President, the Vice-President shall immediately
become the President. |
| 4.10 |
Upon the vacancy
of the positions of Vice-President, Secretary-Treasurer, or
Events Coordinator, the Member-at-Large shall immediately assume
the vacancy. |
| 4.11 |
Upon the vacancy
of the Member-at-Large position, the remaining Executive Board
members shall select an Alumnus Member of the KSUAB to fill
the position. |
| 4.12 |
Any member of the
Executive Board may be removed upon a three-quarters vote of
the remaining Executive Board members, or a three-quarters vote
of Alumnus and Associate Members at any annual or special meeting
of the KSUAB. |
ARTICLE V - COMMITTEES
| 5.1 |
The standing committees
of the KSUAB shall be Membership, Administration, and Events. |
| 5.2 |
The Membership Committee
shall be chaired by the Vice-President. This committee shall
be responsible for strengthening the membership of the KSUAB,
maintaining the current membership, and assisting the Vice-President
in any other assigned duties. |
| 5.3 |
The Administration
Committee shall be chaired by the Secretary-Treasurer. This
committee shall be responsible for communications within and
outside of the KSUAB, shall be responsible for all matters of
finance, and shall assist the Secretary-Treasurer in any other
assigned duties. |
| 5.4 |
The Events Committee
shall be chaired by the Events Coordinator. This committee shall
be responsible for the coordination of all events and other
programs of the KSUAB. This Committee shall assist the Events
Coordinator in any assigned duties.

The President shall
be a member ex-officio of all committees. |
| 5.6 |
The President shall
appoint members to all committees. |
| 5.7 |
Other committees
may be created as deemed necessary by the KSUAB. |
ARTICLE VI - MEETINGS
| 6.1 |
The annual meeting
of the KSUAB shall be held at a time and place determined by
the Executive Board. Each Alumnus Member and Associate Member
shall have one vote in all matters at the annual meeting except
on bylaw amendments. Quorum shall be members present. |
| 6.2 |
Special meetings
of the KSUAB may be called by the President, a majority of Executive
Board members, or a majority of the KSUAB Alumnus and Associate
Membership. |
| 6.3 |
Meetings of the
Executive Board shall be held a minimum of two times per year. |
| 6.4 |
Special meetings
of the Executive Board may be called by the President, a majority
of Executive Board members, or a majority of the KSUAB Alumnus
and Associate Membership. |
ARTICLE VII - AMENDMENTS
| 7.1 |
The bylaws may be
amended by a majority vote of Alumnus Members present at an
annual or special meeting of the KSUAB. |
| 7.2 |
In an emergency
situation, a three-quarters vote of Executive Board members
shall be required to amend the bylaws. Any amendments approved
by the Executive Board will be temporary until the next annual
or special meeting of the KSUAB at which a majority vote of
Alumnus Members present shall be required to affirm the vote.

ARTICLE VIII - RULES OF ORDER
| 8.1 |
Robert's Rules of
Order, Newly Revised, shall be recognized as the authority governing
the meetings of the KSUAB, Executive Board, and committees,
except in situations that conflict with the bylaws of the KSUAB. |
